Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(d) On July 14, 2006, Hal Brice and Greg Mays were elected to the Board of Directors of Wild Oats Markets, Inc., a Delaware corporation. Mr. Brice was elected to a term ending with the annual meeting of shareholders in 2008. Mr. Mays will serve as a member of the Audit Committee of our Board of Directors, and was elected to a term ending with the annual meeting of shareholders in 2009.
