Item 2.02
Results of Operations and Financial Conditions

On August 5, 2009, Altair Nanotechnologies Inc. (the "Company") issued a press release dated August 6, 2009 entitled “Altair Nanotechnologies Reports Second Quarter 2009 Financial Results” reporting financial results for the second quarter ended June 30, 2009. The full text of the press release is attached hereto as Exhibit 99.1 and is hereby incorporated by reference into this item 2.02.

The Company will hold a conference call to discuss its second quarter 2009 results on Thursday, August 6, 2009 at 11:00 a.m. Eastern Daylight Time (EDT). Shareholders and members of the investment community are invited to participate in the conference call. The dial-in number for both U.S. and international callers is +1 719-457- 2631. Please dial in to the conference five minutes before the call is scheduled to begin. Ask the operator for the Altair Nanotechnologies call.
