Item 2.02     Results of Operations and Financial Condition.
 
On March 5, 2009, St. Bernard Software, Inc., a Delaware corporation (“St. Bernard”), issued a press release announcing its preliminary, unaudited financial results for its fourth quarter and year ended December 31, 2008.  A copy of the press release is attached as Exhibit 99.1 to this Current Report.
