Item 8.01.  Other Events.

Terex Corporation (the “Company”) issued a press release on December 13, 2010 announcing that it will redeem all $297.6 million principal amount outstanding of its 7-3/8% Senior Subordinated Notes due 2014 (the “Notes”), effective January 15, 2011.  The Company will pay holders of the Notes 101.229 percent of the principal amount plus accrued and unpaid interest up to the redemption date. A copy of this press release is included as Exhibit 99.1 to this Form 8-K.
