Goodwood does not directly own any Shares.  Rather, Goodwood is the sole investment manager of each of Fund, Arrow, Capital Fund and 2.0.  Ontario Inc. owns all of the capital stock of Goodwood.  Puccetti and MacDonald control Ontario.  MacDonald owns all of the capital stock of ON.  MacDonald directs the investments of BC.
