Completion of Acquisition or Disposition of Assets |
On May 15, 2008, Informatica Corporation (“Informatica”) completed the acquisition of all the
issued and outstanding shares of Identity Systems, Inc., a Delaware corporation and a wholly-owned
subsidiary of Intellisync Corporation, a Delaware corporation (“Intellisync”) pursuant to a Stock
Purchase Agreement (the “Purchase Agreement”) among Informatica, Intellisync and Nokia Inc., a
Delaware corporation. The total consideration paid by Informatica in connection with the
acquisition was approximately $85 million in cash.
On May 15, 2008, Informatica issued a press release announcing that it completed the acquisition of
Identity Systems. The full text of the press release is furnished as Exhibit 99.1 to this Current
Report on Form 8-K and is incorporated herein by reference.
