Item 5.02(b) Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On March 24, 2006, Michael J. Strauss, M.D., who has served as one of our directors since February 1999, notified us that he does not intend to stand for reelection at our 2006 Annual Meeting of Stockholders, which is scheduled to be held on May 18, 2006. Dr. Strauss will continue to serve as a director until the 2006 Annual Meeting of Stockholders.
