Item 2.02. Results of Operations and Financial Condition
     On August 5, 2009, ION Geophysical Corporation (the “Company”) issued a press release containing information regarding the Company’s results of operations for the quarter ended June 30, 2009. A copy of the press release is furnished as Exhibit 99.1 hereto.
