Item 1.01 Entry into a Material Definitive Agreement
On November 21, 2006, Public Service Enterprise Group Incorporated’s (PSEG) Board of Directors approved amendments to PSEG's Stock Plan for Outside Directors.
The amendments were made to 1) revise the grant date to the first business day in May of each year for administrative convenience and 2) revise the restricted period on grants to conform to the new board policy on mandatory retirement age for directors (now age 72 instead of age 70).
