Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
At its February 23, 2016 meeting, the Board of Directors (the “Board”) of Southwest Gas Corporation (the “Company”) amended the Bylaws of the Company. The Board amended Article III, Section 2 of the Bylaws to allow the number of directors of the Company to be established, within the range specified in Article III, Section 1 of the Bylaws, by resolution of the Board. Prior to the amendment, the fixed number of directors within the specified range was set forth in Article III, Section 2 of the Bylaws.
