Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

 

 

The following information is furnished pursuant to Sub-items (b) and (c) of Item 5.02:

 

Effective September 26, 2005, Daniel M. Fitzpatrick the Senior Vice President and Chief Financial Officer and the Principal Financial Officer of the Registrant, assumed the responsibilities of the Principal Accounting Officer of the Registrant from Julie A. Shedd, the Vice President, Controller and Treasurer of the Registrant. Ms. Shedd remains employed as the Vice President, Controller and Treasurer of the Registrant.

 

Mr. Fitzpatrick, age 46, has served as Senior Vice President, Chief Financial Officer of the Registrant since June 6, 2005. From July 1998 through May 2005, he served as Senior Vice President and Controller of Education Management Corporation, a provider of postsecondary education.
