On August 13, 2015, Acadia Realty Trust ("the Company") issued a press release announcing the election of C. David Zoba to the Company's Board of Trustees. Mr. Zoba was elected to the Board on August 12, 2015. Mr. Zoba is senior real estate strategy advisor of Gap, Inc. Additional biographical information may be found in the press release which is attached to this report on Form 8-K as Exhibit 99.1 and incorporated herein by reference.
As a Trustee, Mr. Zoba will receive an annual Trustee fee in the amount of $145,000, comprised of $65,000 cash and $80,000 of either restricted Common Shares or long-term incentive units in the Company's Operating Partnership, subject to a three-year vesting period. The foregoing amounts will be pro-rated for the 2015 calendar year. In addition, he will be reimbursed for travel and lodging expenses associated with attending meetings of the Board of Trustees and committee meetings. Mr. Zoba has not yet received any committee assignments.
