(1)   Pursuant to Rule 416(b) under the Securities Act of 1933, as amended (the “Securities Act”), this Registration Statement shall be deemed to cover an indeterminate number of additional shares which may be necessary to adjust the number of shares reserved for issuance pursuant to the Neose Technologies, Inc. 2004 Equity Incentive Plan for any future stock split, stock dividend or similar adjustments of the outstanding Common Stock, $0.01 par value, of the Registrant.
 
(2)   Estimated pursuant to Rule 457(c) and (h) under the Securities Act solely for the purpose of calculating the registration fee on the basis of the average of the high and low prices of the Common Stock on The NASDAQ Stock Market LLC on May 22, 2007. The average equaled $2.36.

Prior to the occurrence of certain events, the Rights will not be exercisable or evidenced separately from the Registrant’s Common Stock.      Pursuant to General Instruction E of Form S-8, this Registration Statement is being filed in order to register additional shares of Common Stock, par value $0.01 per share, of Neose Technologies, Inc. (the “Company”), with respect to an effective Registration Statement on Form S-8 of the Company relating to the Company’s 2004 Equity Incentive Plan.
     The contents of the Registration Statement on Form S-8, as filed by the Company with the SEC on June 14, 2004, Registration No. 333-116438, are incorporated by reference into this Registration Statement.
