Item 1.01. Entry into Material Definitive Agreements.
On May 13, 2005, in connection with the retirement of Terry L. Lay, Vice President and Chairman Jeanswear Coalition, after 34 years of service, the Board of Directors of VF Corporation (VF) approved an agreement with him that prohibits him from working for certain specified competitors and from hiring VF employees for two years following his retirement from VF. Subject to Mr. Lays compliance with his obligations, benefits under the agreement include continuation of his salary, medical benefits and eligibility for the VF Executive Deferred Savings Plan for two years following his retirement.
