The following information is disclosed pursuant to Item 1.01 - Entry into a Material Definitive Agreement:
| On October 14, 2004, Rowan Companies, Inc. issued a press release announcing that it had entered into a definitive agreement to sell its wholly-owned subsidiary Era Aviation, Inc to SEACOR Holdings Inc. for $118.1 million in cash. The press release is attached as Exhibit 99. |
