Item 2.02 Results of Operations and Financial Condition.
 
(a) On August 20, 2008, Giga-tronics Incorporated issued a press release announcing a multi-year replacement award from Elettronica, estimated to result in several million dollars of revenue, to supply synthesizers for the Eurofighter planes.  A copy of the press release is attached as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.

On August 20, 2008, Giga-tronics issued a press release announcing their new Vice President of Sales and Marketing, and other changes within the organization.  A copy of the press release is attached as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
