Corning registered 30,000,000 shares of its common stock for issuance under the 2002 Worldwide Employee Share Purchase Plan (the "Plan"). At the Annual Meeting of Shareholders held on April 27, 2006, shareholders approved certain amendments to the Plan. The purpose of this Amendment is to amend the previously filed Form S-8 described above by filing the amendments to the Plan as approved by Corning's Shareholders.
