Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 30, 2016, Mr. William Spiegel, a member of the Board of Directors (the “Board”) of Third Point Reinsurance Ltd. (the “Company”), notified the Board in writing of his intent to resign as a member of the Board effective as of September 1, 2016. Mr. Spiegel’s resignation was not the result of any disagreement with the Company or any matters relating to the Company's operations, policies or practices. The Company appreciates Mr. Spiegel’s many contributions and dedicated service to the Company since its inception.
