Item 8.01.  Other Events.

On March 24, 2017, Finjan Holdings, Inc. (the “Company”) announced that Finjan, Inc., its wholly-owned subsidiary (“Finjan”), and Avast Software s.r.o., a company organized under the laws of the Czech Republic (“Avast”), have reached an agreement (the “Agreement”) that upon Avast’s satisfaction of certain terms, Finjan will dismiss its breach of contract and patent infringement claims, filed in the U.S. District Court for the Northern District of California (Case No. 3:17-cv-00283-BLF), against Avast and its newly acquired subsidiary, AVG Technologies, with prejudice. Under the terms of the Agreement, Avast is to pay Finjan $7.745 million in cash on or before March 24, 2017. The specific terms of the Agreement are confidential.
