Amendments to Articles of Incorporation
Effective February 20, 2007, Selective Insurance Group, Inc. (“Selective”) filed a Certificate of Amendment to its Restated Certificate of Incorporation (the “Certificate of Amendment”) with the New Jersey Department of the Treasury in connection with the previously announced 2-for-1 share division (the “Share Division”) of its common stock, par value $2.00 (“Common Stock”). As a result of the Share Division, the Certificate of Amendment provides for an increase in the authorized shares of Common Stock from 180,000,000 to 360,000,000.
A copy of the Certificate of Amendment is attached hereto as Exhibit 3.1 and incorporated herein by reference.
