Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
    On December 2, 2009, WellCare Health Plans, Inc. (“WellCare”) announced that Adam Miller, WellCare’s Senior Vice President, National Medicare and Government Affairs, will be leaving WellCare. Mr. Miller’s position is being eliminated as part of WellCare’s ongoing evaluation and realignment of its core business functions to improve its cost structure. Mr. Miller’s departure is anticipated to be effective January 18, 2010.
 
    Since joining WellCare in January 2006, Mr. Miller managed the growth of WellCare’s prescription drug plan (PDP) business, launched and grew WellCare’s private fee-for-service (PFFS) business and oversaw many other aspects of WellCare’s national Medicare business.
