Item 8.01                       Other Events.

On May 1, 2009, WellCare Health Plans, Inc. (“WellCare”) submitted preliminary notice to the Centers for Medicare & Medicaid Services (“CMS”) that it does not currently intend to renew its Medicare Advantage private fee-for-service (“PFFS”) contracts for plan year 2010.  WellCare, through three of its subsidiaries, currently offers PFFS plans to Medicare beneficiaries in 40 states plus the District of Columbia pursuant to these contracts.  As of March 31, 2009, roughly 110,000 of the approximately 2.5 million members served by WellCare are Medicare Advantage PFFS members.

A copy of the press release issued by WellCare on May 4, 2009, announcing its preliminary notice to CMS regarding its PFFS plans is attached as Exhibit 99.1 hereto.
