Item 1.01                      Entry into a Material Definitive Agreement.

On April 29, 2009, WellCare Health Plans, Inc. (“WellCare”) received the following executed amendments to certain contracts between the Florida Agency for Health Care Administration (“AHCA”) and WellCare’s wholly owned subsidiaries HealthEase of Florida, Inc. (“HealthEase”) and WellCare of Florida, Inc. d/b/a StayWell Health Plan of Florida (“StayWell”):

 
1.
Amendment No. 12 to Medicaid reform Contract No. FAR001 (“Contract FAR001”), dated June 26, 2006, between AHCA and HealthEase;
 
2.
Amendment No. 12 to Medicaid reform Contract No. FAR009 (“Contract FAR009”), dated June 26, 2006, between AHCA and StayWell;
 
3.
Amendment No. 8 to Medicaid non-reform Contract No. FA619 (“Contract FAR619”), dated September 1, 2006, between HealthEase and AHCA; and
 
4.
Amendment No. 10 to Medicaid non-reform Contract No. FA615 (“Contract FAR615”), dated September 1, 2006, between StayWell and AHCA.

These amendments are retroactively effective as of March 1, 2009.  As previously disclosed by WellCare, HealthEase and StayWell are withdrawing from Contracts FAR001 and FAR009 as of July 1, 2009.  Therefore, the amendments to these contracts will be effective only through the date of termination.  The amendments to Contracts FAR619 and FAR615 will be effective until later amendments supersede them.

Each of the above-referenced amendments, among other things, revises the rates payable to HealthEase or StayWell, as applicable, for providing managed care plans to eligible beneficiaries under the Medicaid program.  WellCare anticipates the amendments will result in an overall rate decrease of approximately 1.7%.  Actual premium rates will vary based on the member’s geographic location, demographics and eligibility for certain special status programs.
