Item 1.01
Entry into a Material Definitive Agreement.

On June 18, 2007 the Registrant received an executed amendment number 3 to Contract No. FAR001, between the State of Florida, Agency for Healthcare Administration and HealthEase of Florida, Inc. (Medicaid Reform 2006-2009), a wholly-owned subsidiary of the Registrant, and an executed amendment number 3 to Contract No. FAR009, between the State of Florida, Agency for Healthcare Administration and WellCare of Florida, Inc. d/b/a Staywell Health Plan of Florida (Medicaid Reform 2006-2009), also a wholly-owned subsidiary of the Registrant.  The amendments increase the authorized spending amounts and enrollment levels in Duval and Broward Counties.  Copies of the amendments are attached as exhibit 10.1 and 10.2, respectively, to this Current Report on Form 8-K.

The foregoing description does not purport to be a complete statement of the parties’ rights and obligations under the above-described amendments.  The above description is qualified in its entirety by reference to the amendments.

In the interest of providing interested parties with full access to its federal, state and county contracts, the Registrant has elected to file such contracts with the Securities and Exchange Commission.  The Registrant does not believe that its business is substantially dependent on many of these contracts when each is taken individually.
