On May 20, 2015, Dominion Resources, Inc. (the Company) entered into an underwriting agreement (the Underwriting Agreement) with UBS Securities LLC as sole underwriter for the sale of 2,800,000 shares of its common stock (the Shares). The Shares were registered by the Company under the Securities Act of 1933, as amended, pursuant to a registration statement on Form S-3 that became effective on December 19, 2014 (File No. 333-201149). A copy of the Underwriting Agreement, including the schedules thereto, is filed as Exhibit 1.1 to this Form 8-K.
