ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) On March 24, 2014, Autoliv, Inc. (“Autoliv” or the “Company”) issued a press release announcing that the Board of Directors has elected Mr. Franz-Josef Kortüm to the Board for a term effective March 23, 2014 until the 2016 Annual Meeting of the Stockholders. Mr. Kortüm fills a vacancy on the Board, and with his election the Board will be composed of a total of 8 members.

Mr. Kortüm will enter into an indemnification agreement substantially in the form of the indemnification agreements previously entered into with each of the Company’s existing officers and directors, a form of which has been filed as Exhibit 99.i on Form 10-K (File No. 001-12933, filing date February 23, 2009). In connection with his election, the Company has agreed to compensate Mr. Kortüm consistently with its other independent directors.
