Item 4.01. | Changes in Registrants Certifying Accountant |
(a) On August 15, 2013 the Audit Committee of American Superconductor Corporation (the Company) dismissed PricewaterhouseCoopers LLP (PwC) as the Companys independent registered public accounting firm effective immediately.
The reports of PwC on the financial statements of the Company for the fiscal years ended March 31, 2013 and March 31, 2012 did not contain any adverse opinion or disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope or accounting principles, except that the report of PwC on the Companys audited financial statements contained in its Annual Report on Form 10-K for the fiscal year ended March 31, 2013 includes an explanatory paragraph regarding the Companys ability to continue as a going concern.
During the fiscal years ended March 31, 2013 and March 31, 2012, and the subsequent interim period through August 15, 2013, there were no (a) disagreements as that term is defined in Item 304(a)(1)(iv) of Regulation S-K, between the Company and PwC on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements that, if not resolved to PwCs satisfaction, would have caused PwC to make reference to the subject matter of the disagreement in their reports on the financial statements for such years; or (b) reportable events as that term is defined in Item 304(a)(1)(v) of Regulation S-K.
The Company provided PwC with a copy of the disclosures it is making in this Current Report on Form 8-K and requested from PwC a letter addressed to the Securities and Exchange Commission indicating whether it agrees with the statements made herein. A copy of PwCs letter dated August 21, 2013 is attached as Exhibit 16.1.
(b) Contemporaneous with the determination to dismiss PwC, the Audit Committee of the Company engaged McGladrey LLP (McGladrey) as the Companys independent registered public accounting firm for the fiscal year ending March 31, 2014, also to be effective immediately.
During the fiscal years ended March 31, 2013 and March 31, 2012, and the subsequent interim period through August 15, 2013, neither the Company nor anyone acting on its behalf has consulted with McGladrey regarding (i) the application of accounting principles to a specific completed or contemplated transaction, or the type of audit opinion that might be rendered on the Companys financial statements, and neither a written report nor oral advice was provided to the Company that McGladrey concluded was an important factor considered by the Company in reaching a decision as to any accounting, auditing or financial reporting issue, or (ii) any matter that was either the subject of a disagreement or reportable event as those terms are defined in Item 304(a)(1) of Regulation S-K.
