(b) On February 13, 2012, Mr. John P. Surma notified The Bank of New York Mellon Corporation (the “Corporation”) of his intention to retire from the Board of Directors of the Corporation at the upcoming Annual Meeting of Shareholders to be held on April 10, 2012 and that he would not be standing for re-election to the Board.
