State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q,10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

We were unable, without unreasonable effort or expense, to finalize our interim consolidated financial statements as of and for the three months ended September 30, 2011 in time to file our Quarterly Report on Form 10-Q for our third quarter ended September 30, 2011 (the “Form 10-Q”) by the filing deadline of 2:30 P.M., West Coast Time, on November 14, 2011. However, we have now finalized the financial statements and will be filing our Form 10-Q by November 16, 2011.

We will be reporting pre-tax income of $627,000 for our third quarter ended September 30, 2011, as compared to a pre-tax loss of $125,000 for the same quarter of 2010. We expect to recognize an income tax benefit of $225,000 for this year’s third quarter. As a result, we expect to report net income of $852,000, of which $731,000, or $0.06 per diluted share, is allocable to our common shareholders and $121,000 is allocable to accumulated but undeclared dividends on our preferred stock. By comparison, during the three months ended September 30, 2010, we sustained a net loss of $125,000 and a net loss allocable to common shareholders of $452,000, or $0.04 per diluted common share, because accumulated but undeclared dividends on our preferred stock totaled $327,000.
