Important Notice Regarding the Availability of Proxy Materials for the

Shareholder Meeting to Be Held at 4:00 p.m., April 26, 2011.

As part of our efforts to cut unnecessary expenses and conserve the environment, Union First Market Bankshares Corporation has elected to provide Internet access to the 2011 annual meeting proxy statement and 2010 annual report rather than mailing paper copies. The annual shareholders meeting will be held at 4:00 p.m. on April 26, 2011, at our Operations Center, 24010 Partnership Boulevard, Ruther Glen, Virginia 22546. The matters to be covered are noted below:

 

  1. Elect four (4) directors to serve as Class III directors until the 2014 Annual Meeting:

G. William Beale, Steven A. Markel, Patrick J. McCann, Hullihen W. Moore

 

  2. Elect one (1) director to serve as a Class II director until the 2013 Annual Meeting:

L. Bradford Armstrong

 

  3. Approve the Company’s 2011 Stock Incentive Plan.

 

  4. Ratify the appointment of Yount, Hyde & Barbour, P. C. as the Company’s independent registered public accounting firm for 2011.

 

  5. An advisory vote on executive compensation.

 

  6. An advisory vote on the frequency of the advisory vote on executive compensation.

 

  7. To transact such other business as may properly come before the meeting or any adjournments or postponements thereof.

The Board of Directors is not aware of any other such business. Shareholders of record of our common stock at the close of business on February 28, 2011 are entitled to vote at the annual meeting.

The Board of Directors recommends a vote FOR all the listed nominees in Proposals 1 and 2, FOR Proposals 3, 4, and 5, and for a “One Year” frequency on Proposal 6.
