On August 20, 2008, Dr. R. Byron Pipes notified the Company that he will retire from his position as a member of the Board of Directors and its Compensation and Corporate Governance Committee immediately following the conclusion of the Company’s next Board meeting on September 11, 2008. Dr. Pipes’ decision to retire was based on personal reasons and was not the result of any disagreement with the Company.
