Item 8.01

Other Events.

On July 7, 2008 Silicon Storage Technology, Inc., or SST, announced that the Securities and Exchange Commission, or the SEC, has formally notified SST that the SEC investigation related to our historical stock option grant practices has been terminated. No enforcement action has been recommended. In addition, we announced that the NASDAQ Stock Market LLC has formally notified SST that with the holding of our annual meeting on June 27, 2008 we have regained compliance with NASDAQ listing requirements.
