Item 2.02. Results of Operations and Financial Condition.

On January 16, 2007, H.B. Fuller Company (the “Company”) announced its operating results for the fourth quarter and fiscal year ended December 2, 2006. A copy of the press release that discusses this matter is filed as Exhibit 99.1 to, and incorporated by reference in, this report.

In addition to disclosing results in accordance with U.S. generally accepted accounting principles (GAAP), the Company also discloses non-GAAP pro forma earnings per share in the press release. The Company has included this non-GAAP information to assist in understanding the comparability of results in light of the items identified in the press release. The non-GAAP information provided in the press release may not be consistent with the methodologies used by other companies.
