Item 8.01. Other Events.
The Special Meeting of Shareholders of Insmed Incorporated (the “Company”) to vote on the adoption of the Amended and Restated 2000 Employee Stock Purchase Plan, previously scheduled for November 30, 2006, has been rescheduled for 9 am on Thursday, December 14, 2006 at the Company’s offices at 8720 Stony Point Parkway, Suite 200, Richmond, Virginia 23235. The November 30, 2006 meeting was adjourned to give more time for a quorum to be established.
