Item 1.01 - Entry into a Material Definitive Agreement.
On May 2, 2005, Hudson Highland Group, Inc. (the Company) entered into an amendment (the Amendment) to its Amended and Restated Loan and Security Agreement, dated as of June 25, 2003 (the Loan Agreement), to increase the maximum borrowing level allowed under the Loan Agreement from $50 million to $54 million for a period ending May 31, 2005. A copy of the Amendment is filed as Exhibit 4.1 to this Current Report and is incorporated herein by reference.
Item 2.03 Creation of a Direct Financial Obligation or an Obligation Under an Off-Balance Sheet Arrangement of a Registrant.
The Companys outstanding borrowings under the Loan Agreement have increased to approximately $33.3 million as of May 2, 2005 from approximately $19 million as of March 31, 2005. As of May 2, 2005, the Company had letters of credit issued and outstanding of approximately $18.0 million, leaving $2.7 million of available credit under the Loan Agreement. The Company expects that its outstanding borrowings under the Loan Agreement will remain at a level near or at capacity throughout May 2005 and possibly longer.
