Item 3.02. Unregistered Sales of Equity Securities.

 

On January 12, 2005, eMerge Interactive, Inc. (the “Company”) entered into a Securities Purchase Agreement (the “Purchase Agreement”) pursuant to which the Company agreed to sell to certain institutional investors (collectively, the “Investors”) in a private placement transaction an aggregate of 2,900,000 shares of common stock at an aggregate purchase price of $4,060,000 (or $1.40 per share). As part of the transaction, the Company also agreed to issue to the Investors warrants to purchase an aggregate of 435,000 shares of common stock at an exercise price of $1.75 per share. The transaction is subject to customary closing conditions and is scheduled to close on or before January 28, 2005.

 

In connection with the offer and sale of securities to the Investors, the Company relied on the exemption from registration provided by Section 4(2) of the Securities Act of 1933, as amended (the “Securities Act”), and Rule 506 promulgated thereunder. The Company believes that the Investors are “accredited investors,” as such term is defined in Rule 501(a) promulgated under the Securities Act.

 

The Company has agreed to file, within 30 days after the closing, a registration statement covering the resale of the shares of common stock to be sold to the Investors and the shares of common stock issuable upon exercise of the Warrants to be issued to the Investors.

 

A copy of the Purchase Agreement, including the form of Warrant to be issued to the Investors and a form of the Registration Rights Agreement is filed herewith as Exhibit 10.1 and incorporated herein by reference.

On January 12, 2005, the Company issued a press release announcing it has reached an agreement for the private placement of common stock and warrants to certain institutional investors. A copy of the press release containing such announcement is furnished herewith as Exhibit 99.1 and incorporated herein by reference.
