Item 8.01. Other Events.
In light of the ongoing successful executive transition, Mr. Joseph W. Brown, MBIA Inc.s executive Chairman, requested approval from the companys Board of Directors to reduce his time commitment to the company for 2005 from four to three days a week and, in connection therewith, to reduce his base salary for 2005 from $720,000 to $540,000. On January 6, 2005, the companys Board of Directors approved Mr. Browns request.
