Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

John R. Kasich notified Worthington Industries, Inc. (the “Company”) of his retirement from the Board of Directors of the Company effective as of November 3, 2010.  Mr. Kasich was elected as Governor of the State of Ohio in the November 2, 2010 election.  Mr. Kasich served on the Board of Directors since February 2001 and was in the Class of Directors whose term expires in 2012. He served on the Compensation Committee and the Nominating and Governance Committee.
