On December 19, 2007, Pediatrix Medical Group, Inc. (the "Company") issued a press release (the "Press Release") announcing that it had signed a definitive agreement with PerkinElmer, Inc., pursuant to which the Company will sell its newborn metabolic screening laboratory business in a cash transaction. The closing of the sale is subject to customary conditions, including the expiration or termination of the applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976. A copy of the Press Release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. In a separate press release ("Separate Release"), the Company announced that its Board of Directors authorized an additional share repurchase program, pursuant to which the Company may purchase up to $100 million of its common stock in open market purchases based upon price, general economic and market conditions and trading restrictions.
