Item 8.01.  Other Events.


On July 12, 2006, Revlon, Inc. issued a press release (the "Press Release")
announcing, among other things, that its wholly-owned operating subsidiary,
Revlon Consumer Products Corporation, is seeking an amendment to its existing
bank credit agreement, dated July 9, 2004 (as amended by Amendment No. 1, dated
as of February 15, 2006, the "Credit Agreement"), that would add $75 million to
the existing $700 million term loan facility under the Credit Agreement.

A copy of the Press Release is attached to this report as Exhibit 99.1 and is
incorporated by reference herein.
