Entry into a Material Definitive Agreement. |
On September 27, 2007, Eaton Vance Corp. (the Company) entered into an underwriting agreement (the Underwriting Agreement) with Citigroup Global Markets Inc. and Merrill Lynch, Pierce, Fenner & Smith Incorporated, as representatives of the several underwriters listed therein (the Underwriters), pursuant to which the Company agreed to sell to the Underwriters $500,000,000 aggregate principal amount of its 6.500% Notes due 2017 (the Notes), for sale by the Underwriters (collectively the Offering) pursuant to the Companys registration statement on Form S-3 (File No. 333-146280) (the Registration Statement). The offering will result in proceeds to the Company, net of underwriting discounts and commissions, of approximately $496.1 million.
The underwriters have performed investment banking and advisory services for the Company and for certain of the Companys funds from time to time in the ordinary course, for which they have received customary fees and expenses. These services have included acting as underwriters and distributors for certain of the Companys funds and providing financing to the Company and to those funds. The underwriters may, from time to time, engage in other transactions with and perform services for the Company in the ordinary course of their business.
