Item 5.02    Election of Directors.

On February 10, 2009, Nevada Gold & Casinos, Inc. (the “Company”) announced the appointment of Frank Catania to the Company’s Board of Directors effective immediately.  Mr. Catania will also serve on the Audit and Corporate Governance Committees of the Board of Directors.  He has over 30 years of gaming and legal experience and is currently a principal of Catania Consulting Group, which specializes in providing gaming expertise to both the public and private sectors.  Mr. Catania is also of counsel at Law Offices of Catania & Associates, LLC and serves on the board of directors of Empire Resorts, Inc. (NASDAQ: NYNY) and eCOGRA.  Mr. Catania was previously the director of New Jersey’s Division of Gaming Enforcement.
