Explanatory Note

The purpose of this Amendment No. 1 to the Report on Form 8-K filed by EVCI Career Colleges Holding Corp. on April 24, 2007 is to add a new paragraph at the end of Item 3.01 concerning a notice received by EVCI from the Boston Stock Exchange (“BSE”).

Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
 
EVCI Career Colleges Holding Corp. today announced that due to the delay in the filing of its Annual Report on Form 10-K for the year ended December 31, 2006, it received a letter dated April 18, 2007 from The Nasdaq Stock Market indicating that the Company’s common stock is subject to delisting pursuant to Nasdaq Marketplace Rule 4310 (c) (14). The Nasdaq Marketplace Rule 4310 (c) (14) requires the Company to make on a timely basis all filings with the Securities and Exchange Commission, as required by the Securities Exchange Act of 1934, as amended.

The Company has been delayed beyond the April 17, 2007 extended filing date prescribed by Rule 12b-25, because it continues seeking to complete a financing and a simultaneous restructuring of its bank debt that will enable it to satisfy specific financial responsibility standards established by its federal and state regulators.
 
The Company expects to file its Form 10-K before Nasdaq is required to delist the Company’s securities. If necessary, the Company can and will appeal Nasdaq’s determination and request a hearing.

The Company also announced that it has received notice from the BSE that trading in the Company’s common stock on the BSE has been suspended as a result of the delay in the filing of the Company’s Form 10-K and is subject to delisting from the BSE if the Form 10-K is not filed by April 27, 2007.
