Other Events.
 
On March 17, 2009, TrustCo Bank Corp NY (“TrustCo”) issued a press release regarding its plans for capital retention and dividends. In light of an operating environment stressing the need for increased capital and expected significant, industry-wide increases in deposit insurance assessments, the board anticipates that TrustCo’s dividend will be reduced from the current quarterly level of $0.11 per share to $0.0625 per share beginning with the second quarter declaration in May, 2009. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
