Item 5.02 Compensatory Arrangements of Certain Officers.
On February 26, 2015, the stockholders of the Company approved the Amended and Restated 2006 Omnibus Long-Term Incentive Plan (the Amended and Restated Plan) at the annual meeting of stockholders in accordance with the recommendation of the Companys Board of Directors. The Plan provides for awards of stock options, stock appreciation rights, restricted stock, stock units, dividend equivalent rights and cash awards to eligible employees, officers, directors, consultants and advisors, including the Companys principal executive officer, principal financial officer and named executive officers. The Amended and Restated Plan increased the number of shares of common stock available to a total of 13,000,000 shares of common stock, which is a 3,000,000 increase from the 10,000,000 shares of common stock previously available for issuance under the 2006 Omnibus Long-Term Incentive Plan. The Amended and Restated Plan expires automatically on January 9, 2025.
Item 5.07 Submission of Matters to a Vote of Security Holders.
On February 26, 2015 the Company held its 2015 Annual Meeting of Stockholders (the Annual Meeting), pursuant to notice duly given. The matters voted upon at the Annual Meeting and the final voting results are as follows:
