Item 1.01.                  Entry Into a Material Definitive Agreement.

 

Revised Form of Indemnification Agreement

 

On May 29, 2008, Deckers Outdoor Corporation (the “Company”) and each Director and executive officer of the Company entered into an updated indemnification agreement.  Certain changes were made to the form of indemnification agreement for the Company’s Directors and executive officers and the revised form of indemnification agreement is filed as Exhibit 10.1 hereto and is incorporated herein by reference.
