Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 22, 2010, the Company completed the grant of a restricted stock award for 100,000 shares of the Company’s common stock to Marc D. Durand, Chief Executive Officer, in connection with his employment arrangement dated November 8, 2010. The shares are subject to vesting in equal, annual increments over a four year period, and may earlier vest under certain change in control circumstances that result in termination of employment.
