Item 1.01  Entry into a Material Definitive Agreement

 

On October 27, 2009, we entered into an agreement of amendment with our senior secured lender, Sovereign Bank, amending certain covenants and terms of our credit facility, effective for our first fiscal quarter ended September 30, 2009. Financial covenants were amended to be tested on a rolling basis for periods after September 30, 2009 and until September 30, 2010, the term “EBITDA”, as used for purposes of the calculation of the fixed charge coverage ratio, was clarified to include add backs for the non-cash effects of accounting pronouncement EITF 07-5 [FASB ASC Topic 815-10], with a modified calculation applicable for our first fiscal quarter ended September 30, 2009 and the interest rate was amended to the greater of (i) seven percent per annum or (ii) the lender’s floating prime rate plus three and one-quarter percent per annum.
