Item 8.01. Other Events.
On October 12, 2005, the registrant announced that its Board of
Directors has declared a cash dividend of fifteen cents per share on the common
stock of the registrant, payable on November 14, 2005, to shareholders of record
on October 31, 2005.

reference.
