Item 5.03                      Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On May 14, 2013, the Board of Directors of the Company authorized an amendment to the Company’s bylaws (the “Bylaws”), effective immediately.  The amendment revises Article II(A) of the Bylaws to decrease the size of the Company’s Board of Directors from eleven (11) to eight (8) directors.

The full text of the Bylaws, as amended, is attached as Exhibit 3.1 to this report and is incorporated by reference into this Item 5.03.

Item 5.07                      Submission of Matters to a Vote of Security Holders
 
An annual meeting of shareholders of First National Corporation (the Company) was held on May 14, 2013 for the purpose of considering and acting upon the following matters:
 
(1)  
The election of 8 directors to serve for a term of one year;
 
(2)  
The approval of a non-binding advisory resolution approving the compensation of executive officers;
 
(3)  
The approval of a non-binding advisory recommendation of the frequency of future votes on the Company’s executive compensation program;
 
(4)  
The ratification of the appointment of Yount, Hyde & Barbour, P.C. as the Company’s independent registered public accounting firm for the year ending December 31, 2013.
 
The final voting results for each proposal, including the votes for and against, and any withheld or broker non-votes, are described below.
